Terms and Conditions

1. Introduction

1.1 Mashaba & Sons (Pty) Ltd. shall not be liable in respect of any warranties and/or representation of any nature whatsoever given or made by the salesman or selling agents who have no authority to bind the company in any respect whatsoever.

1.2 By engaging our Services, you agree to be bound by these Terms. Please read them carefully before proceeding.

2. Services Provided

2.1 We will provide the services as agreed upon in writing between the parties.

2.2 Any additional services not specified in the agreement may be subject to additional terms and fees.

3. Client Responsibilities

3.1  Mashaba & Sons (Pty) Ltd. shall not be liable for any loss or damage of whatsoever nature arising once product has been handed over to Client . The buyer may select any mode of transport and may deliver in one of several lots. Inability of the seller to fulfil any part of this contract does not give buyers the right to cancel remainder of the order. Quality may be sent wholly or in part

4. Fees and Payment

4.1 Our fees for the Services are as agreed upon in writing.

4.2 Payment is due within 30 days of receipt of invoice, unless otherwise specified.

4.3 Late payments may incur interest at 25% per month or the maximum allowed by law.

5. Intellectual Property

5.1 We retain ownership of all intellectual property rights in any materials or deliverables created by us in the course of providing Services.

6. Confidentiality

6.1 Each party agrees to keep confidential all information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.

6.2 Confidential information does not include information that (i) is or becomes publicly known through no breach by the receiving party, (ii) is received from a third party without breach of any obligation of confidentiality, or (iii) was independently developed by the receiving party.

7. Data Protection and Privacy

7.1 We will comply with applicable data protection laws and regulations in handling any personal data provided by you.

7.2 You consent to the processing of your personal data as necessary for the provision of Services and as outlined in our Privacy Policy.

8. Limitation of Liability

8.1 To the maximum extent permitted by law, our liability under these Terms shall be limited to the fees paid by you for the Services.

9. Termination

9.1 Either party may terminate the agreement upon 30 days written notice to the other party.

9.2 Termination shall not affect any accrued rights or liabilities of either party.

10. Governing Law and Dispute Resolution

10.1 These Terms shall be governed by and construed in accordance with the laws of South Africa High Court.

10.2 Any dispute arising out of or in connection with these Terms shall be resolved through mediation/arbitration/litigation in South Africa High Court.

11. Miscellaneous

11.1 These Terms constitute the entire agreement between the parties and supersede any prior agreements or understandings.

11.2 No waiver of any provision of these Terms shall be effective unless in writing and signed by the party waiving such provision.
